Please read these terms carefully before using SimpleClose's real estate marketplace platform.

These Terms of Service ("Terms") constitute a legally binding agreement between you and SimpleClose ("Company", "we", "us", or "our") concerning your access to and use of the SimpleClose platform, including our website, mobile applications, and related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform constitutes acceptance of any changes.
You must be at least 18 years old to use our Platform and enter into legally binding contracts.
You must provide accurate information and verify your email address and phone number.
You must have the legal capacity to enter into binding agreements in your jurisdiction.
You must not have been previously banned or suspended from using our Platform.
Account Creation:
You must create an account to access certain features of the Platform. You agree to provide accurate,
current, and complete information during registration and to update such information to keep it accurate.
Account Security:
You are responsible for maintaining the confidentiality of your account credentials and for all activities
that occur under your account. You must immediately notify us of any unauthorized use of your account.
One Account Per User:
You may only create one account. Multiple accounts created by the same person may be suspended or
terminated without notice.
Keep your password safe and never share it with anyone.
Maintain a valid email address for important communications.
Monitor your account for any suspicious or unauthorized activity.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:
• Post false, misleading, or fraudulent property listings or information
• Harass, threaten, or intimidate other users
• Impersonate any person or entity or misrepresent your affiliation
• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Upload viruses, malware, or any malicious code
• Scrape, collect, or harvest user data without permission
• Use the Platform for commercial solicitation without authorization
• Interfere with or disrupt the Platform's operation or servers
• Create multiple accounts or use automated systems (bots) to access the Platform
Seller Responsibilities:
Sellers must provide accurate, truthful, and complete information about properties listed on the Platform.
You represent that you have the legal right to list and sell any property you post. You are responsible
for the accuracy of all listing details, photos, and descriptions.
Buyer Due Diligence:
Buyers are responsible for conducting their own due diligence, including property inspections, title
searches, and verification of all information before completing any transaction. SimpleClose does not
guarantee the accuracy of listing information.
Platform Role:
SimpleClose is a marketplace platform that connects buyers and sellers. We are not a party to any transactions
between users and do not provide real estate, legal, financial, or tax advice.
Ensure all listing details are truthful and up-to-date.
Always inspect properties and verify information before purchasing.
Follow all applicable laws and regulations in your jurisdiction.
Platform Ownership:
The Platform and its entire contents, features, and functionality (including but not limited to all
information, software, text, displays, images, video, and audio, and the design, selection, and arrangement
thereof) are owned by SimpleClose and are protected by copyright, trademark, and other intellectual property laws.
User Content License:
By posting content on the Platform (including property listings, photos, messages), you grant SimpleClose
a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display
such content for the purpose of operating and promoting the Platform.
Content Responsibility:
You retain ownership of your content but represent that you have all necessary rights to grant the above
license. You are solely responsible for your content and any consequences of posting it on the Platform.
As-is service
The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, secure, or error-free.
Limited responsibility
To the fullest extent permitted by law, SimpleClose shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
Independent agreements
We are not responsible for disputes between users. Any transactions between buyers and sellers are independent agreements that we do not control or guarantee.
Our Rights:
We reserve the right to suspend or terminate your account and access to the Platform at any time,
with or without notice, for any reason, including but not limited to violation of these Terms,
fraudulent activity, or conduct that we deem harmful to other users or the Platform.
Your Rights:
You may terminate your account at any time by contacting our support team. Upon termination, your
right to access and use the Platform will immediately cease.
Effect of Termination:
Upon termination, we may delete your account and content. Some provisions of these Terms (including
disclaimers, limitations of liability, and dispute resolution) will survive termination.
Governing Law:
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where
SimpleClose is registered, without regard to its conflict of law provisions.
Dispute Resolution:
Any disputes arising out of or relating to these Terms or the Platform shall first be attempted to
be resolved through good-faith negotiations. If negotiations fail, disputes may be resolved through
binding arbitration or in the courts of appropriate jurisdiction.
Class Action Waiver:
You agree that any dispute resolution proceedings will be conducted only on an individual basis and
not in a class, consolidated, or representative action.
